These Terms of Service (“Terms”) are a contract between you and Valarchy Labs LLP (LLPIN ACV-7063), a limited liability partnership registered in India (“Moduvanta”, “we”, “us”), governing your use of the Moduvanta platform and website (the “Service”). By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you are agreeing on behalf of an organisation, you confirm you have authority to bind it.
1. Accounts and workspaces
- A workspace is created and owned by the institution that signs up. The person who signs up (the “Super Admin”) is responsible for that workspace, its billing, and the accounts of staff and learners added to it.
- You must provide accurate information, keep your credentials secure, and promptly notify us of any unauthorised use. You are responsible for activity under your account.
- Each workspace is reachable at a subdomain of our platform domain and, on eligible plans, a custom domain you control.
2. Your data and content
- As between you and us, you (or your institution) own the content you put into a workspace — user records, courses, quizzes, results, and other material (“Customer Data”).
- You grant us a limited licence to host, process, and transmit Customer Data solely to provide and support the Service, and as described in the Privacy Policy.
- You are responsible for having a lawful basis to collect and upload the personal data of your staff and learners, for any notices or consents they require, and for the accuracy of that data.
- You may export Customer Data through the features we provide. On account termination we will delete Customer Data as described in the Privacy Policy, subject to limited retention for legal and backup purposes.
3. Acceptable use
You agree not to, and not to permit anyone to:
- break the law, infringe others’ rights, or upload unlawful, harmful, or infringing content;
- upload malware, or probe, scan, or attempt to breach the Service or its security or tenant isolation;
- access another workspace’s data, or use the Service to build a competing product;
- overload or disrupt the Service, or circumvent usage limits, rate limits, or access controls;
- resell or provide the Service to third parties except your own staff and learners, unless we agree in writing.
We may suspend access to address a material or urgent breach, a security risk, or non-payment.
4. Plans, payment, and taxes
- Paid plans are billed in advance on a monthly or annual cycle. Fees and plan limits are shown on our pricing page. The free plan is offered as-is and may change.
- Payments are collected by our payment processors, Razorpay and, for some international transactions, Stripe. You authorise the applicable processor to charge your payment method on a recurring basis until you cancel. Card details are handled by the processor, not by Moduvanta.
- Fees are exclusive of taxes. You are responsible for applicable taxes, duties, and levies, except taxes on our net income. For customers outside India, cross-border payment, currency conversion, and any withholding are handled per the payment processor’s terms and applicable law.
- Except where required by law, fees are non-refundable. If we materially reduce a plan’s functionality during a paid term, contact us and we will work out a fair resolution.
- Exceeding a plan’s learner or seat limit is a prompt to upgrade; we may contact you and, after notice, require an upgrade to continue.
5. Service changes and availability
The Service is provided on an ongoing basis but is under active development. Features may be added, changed, or removed. We aim for high availability but do not currently offer a contractual uptime commitment except where separately agreed in an enterprise contract. We will give reasonable notice of material adverse changes to paid plans.
6. Intellectual property
The Service, including its software, design, and documentation, is owned by Valarchy Labs LLP and its licensors. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. We may use aggregated, de-identified data about Service usage to operate and improve the Service. Feedback you send us may be used without restriction or obligation.
7. Third-party services
The Service relies on third-party providers (including Supabase, Vercel, Render, Resend, Razorpay, Stripe, and — if you enable it — Google sign-in). Your use of the Service is also subject to those providers’ terms where relevant, and we are not responsible for their acts or omissions.
8. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it meets any particular regulatory or accreditation requirement for your programmes.
9. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Service in any 12-month period will not exceed the amounts you paid us for the Service in that period (or, if you are on the free plan, INR 5,000). Nothing limits liability that cannot be limited under applicable law.
10. Indemnity
You will defend and indemnify Valarchy Labs LLP against third-party claims arising from your Customer Data, your use of the Service in breach of these Terms, or your violation of law or another person’s rights.
11. Term and termination
These Terms apply while you use the Service. You may stop using the Service and delete your workspace at any time; paid plans run until the end of the current billing period. We may suspend or terminate access for a material breach not cured after notice, for non-payment, or if required by law. On termination your right to use the Service ends and Customer Data is handled as described in the Privacy Policy.
12. Governing law and disputes
These Terms are governed by the laws of India. The courts at the registered office location of Valarchy Labs LLP will have exclusive jurisdiction, subject to any mandatory consumer-protection rights you have in your country of residence.
13. General
- We may update these Terms; the “last updated” date reflects the current version and material changes will be notified to workspace owners.
- If a provision is unenforceable, the rest remains in effect.
- You may not assign these Terms without our consent; we may assign them to an affiliate or in connection with a merger or sale of assets.
- These Terms, with the Privacy Policy and any order form, are the entire agreement between us on their subject matter.
